- Review board meeting minutes and the Code of Regulations (by-laws); make recommendations on revisions or suggestions, as necessary; and attend Board meetings.
- Prepare and facilitate board trainings on a variety of governance models, Board procedures and best practices including the need for succession planning, the role of the board and its committees, board meeting process, and votes required as well as board development and engagement.
- Work with the Board Development committee to matrix map current Board members, identify gaps and create a prospect list for new Board members; review and assess current committee structure, including a discussion of prospective non Board committee members, as allowed.
- Prepare a detailed Board Development Plan.

Strategic planning is a process by which the board, staff as invited, and select constituents set or revise the values, mission and vision to decide the strategy for the future direction of an organization. Having a board-approved, staff-involved strategic plan that includes effective measurements and the allocation of resources aligns the organization, provides direction to all level of staff and Board. It also allows leadership, both board and staff, to reject divergent paths that will not lead to the organization’s intended destination.
